1. ACCEPTANCE OF TERMS

By registering as a member, submitting artwork, or accessing any part of the Paninap Online Art Gallery ("the Gallery") at paninap.com, you ("the Member" or "the Artist") agree to be fully bound by these Terms and Conditions. If you do not agree, you must discontinue use of the Gallery immediately.

2. MEMBERSHIP & ELIGIBILITY

  • Membership is open to artists, collectors, and art enthusiasts who agree to these Terms.
  • Members must provide accurate, complete, and current information upon registration.
  • The Gallery reserves the right to approve, suspend, or revoke membership at its sole discretion without prior notice.
  • Lifetime Membership is a privilege granted by the Gallery and may be revoked in cases of misconduct, violation of these Terms, or actions deemed harmful to the Filipino art community.

3. USE OF PERSONAL INFORMATION & MEDIA CONSENT

By becoming a member or submitting content to the Gallery, you expressly grant Paninap Online Art Gallery the right to:

  • Collect, store, and process your personal information (including name, contact details, biographical information, and artist profile) for Gallery operations, promotions, and community-building purposes.
  • Use your submitted images, videos, audio recordings, and likeness for the purpose of promoting, exhibiting, and archiving artworks on the Gallery's website, social media platforms, marketing materials, and partner publications.
  • Feature your name, artist profile, and submitted works in digital and physical exhibitions, press releases, and cultural programs associated with the Gallery.
  • Retain submitted media in the Gallery's digital archive for historical and cultural documentation purposes.

The Gallery commits to handling all personal data in accordance with applicable data privacy laws, including the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and internationally recognized data protection standards.

4. ARTWORK SUBMISSION & INTELLECTUAL PROPERTY

  • Artists retain copyright ownership of their submitted works unless a separate written agreement states otherwise.
  • By submitting artwork, the Artist grants the Gallery a non-exclusive, royalty-free, worldwide license to display, reproduce, and promote the work for Gallery purposes.
  • Artists warrant that all submitted works are original, owned by them, and do not infringe upon any third-party intellectual property rights.
  • The Gallery reserves the right to reject, remove, or archive any artwork at its discretion without obligation to provide a reason.

5. ARTIST LIABILITY & LEGAL COMPLIANCE

  • The Artist is solely and fully liable for the content, authenticity, and legality of all artworks and information submitted to the Gallery.
  • The Gallery acts solely as a platform for promotion and public display and does not assume responsibility for any legal claims, disputes, or liabilities arising from submitted content.
  • Any illegal transactions, fraudulent activity, copyright infringement, misrepresentation, or misconduct — whether online or offline — connected to an Artist's submissions or conduct shall be the exclusive legal responsibility of the Artist.
  • The Gallery reserves the right to cooperate with law enforcement authorities and provide relevant information in cases of suspected illegal activity.
  • The Gallery shall not be held liable for any financial loss, reputational damage, or legal consequences resulting from an Artist's actions or submitted content.

6. PROHIBITED CONDUCT

Members and Artists are strictly prohibited from:

  • Submitting artworks or content that is plagiarized, counterfeit, or falsely attributed.
  • Engaging in fraudulent sales, misrepresentation of artwork value, or deceptive practices toward buyers or collectors.
  • Using the Gallery platform for money laundering, illegal trade, or any activity that violates local or international law.
  • Posting offensive, discriminatory, or culturally disrespectful content that contradicts the Gallery's values of Bayanihan, Pakikipagkapwa, at Kababaang-loob.
  • Attempting to hack, disrupt, or compromise the Gallery's digital infrastructure.
  • Sharing or selling other members' personal information without consent.

Violation of any of the above may result in immediate membership termination and legal action.

7. PUBLIC DISPLAY & AVAILABILITY OF ARTWORKS

  • By submitting artwork to the Gallery, the Artist acknowledges and consents that their works will be made available for public viewing on paninap.com and associated platforms.
  • The Gallery makes no guarantee of sales, commissions, or commercial outcomes from the display of artworks.
  • Artworks displayed publicly remain subject to the intellectual property protections outlined in Section 4.

8. GALLERY RULES & CODE OF CONDUCT

All members shall:

  • Treat fellow artists, collectors, and Gallery staff with respect and professionalism.
  • Uphold the cultural integrity and values of the Filipino art community.
  • Comply with all Gallery announcements, exhibition guidelines, and event protocols as communicated by the Gallery management.
  • Refrain from any conduct that brings disrepute to the Gallery or the Filipino art community.
  • Report any suspicious activity, misconduct, or violations to Gallery management promptly.

The Gallery reserves the right to update these rules at any time, with notice provided to members via email or the Gallery website.

9. LIMITATION OF LIABILITY

The Gallery shall not be liable for:

  • Any indirect, incidental, or consequential damages arising from the use of the Gallery platform.
  • Technical disruptions, data loss, or unauthorized access beyond the Gallery's reasonable control.
  • Actions or omissions of third-party platforms, partners, or service providers.

10. AMENDMENTS

The Gallery reserves the right to amend these Terms and Conditions at any time. Continued use of the Gallery following any amendments constitutes acceptance of the revised Terms. Members will be notified of significant changes via registered email.

11. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the Philippines.
